VEERIO TERMS OF SERVICE

Welcome to Veerio! Please read these Terms of Service (“Terms”) carefully. They constitute a binding legal agreement between you and Veerio LLC (“Veerio,” “we,” “us,” or “our”).
These Terms govern your access to and use of the Veerio mobile application, website, and any related services, features, or content (collectively, the “Platform”). By downloading, registering for, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.
1. THE VEERIO PLATFORM
Veerio is a localized experiential event discovery platform. We provide a space where event producers (“Hosts”) can publish, promote, and manage events such as concerts, educational classes, athletic events, and other gatherings, and where users (“Users,” “Guests,” or “Members”) can discover events tailored and localized to their current geographic location, whether they live locally or are traveling from out-of-town.
Veerio is a Platform Only. Veerio is not an event organizer, broker, employer, or agent for any Host or User. We do not host, operate, supervise, or control the events posted on the Platform. We are not responsible for the quality, safety, legality, accuracy, or conduct of any events, Hosts, or Users.
AI-Automated Content: The Platform may include event listings and related content that are sourced, aggregated, formatted, summarized, or otherwise generated with the assistance of artificial intelligence, machine learning, or automated data collection tools (including web scraping of publicly available sources). Veerio does not independently verify the accuracy, completeness, or currency of such content. Users should confirm all event details directly with the Host or original source before attending or relying on any listing.
2. ELIGIBILITY AND ACCOUNTS
Age Requirements: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account, host an event, or use the Platform.
Account Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are solely responsible for safeguarding your account password and for all activities that occur under your account.
Account Types:
Users: Accounts created to browse, save, and attend events.
Hosts: Accounts created by individuals or entities to post, manage, and promote events.
During Veerio's initial launch period, Host accounts are created and managed by Veerio administrators on behalf of venues. Hosts may, by claiming an event or venue listing, become bound by these Terms with respect to that listing. Veerio reserves the right to enable self-service Host registration in the future.
Additionally, during Veerio’s initial launch period, both User and Host accounts do not include a fee. Veerio reserves the right, at its sole discretion, to charge a fee or to include paid-for-service aspects of the Services.
3. HOST-SPECIFIC TERMS AND RESPONSIBILITIES
If you utilize the Platform as a Host, you acknowledge and agree to the following:
Event Responsibility: You are solely responsible for the events you list, including obtaining all necessary permits, insurance, licenses, and ensuring compliance with local, state, and federal laws.
Accuracy of Listings: You agree to provide accurate and truthful details regarding your events (e.g., time, location, pricing, age restrictions).
Safety: You must maintain safe environments for your events. Veerio reserves the right to remove any event listing or suspend any Host account that we believe, in our sole discretion, poses a risk to safety or violates community standards.
Assisted Posting: If Veerio assists you in posting or formatting your event content — including through the use of artificial intelligence, machine learning tools, or automated formatting systems — you remain solely responsible for reviewing and verifying the accuracy and legality of the final listing before the event goes live and if you edit the event details. AI-assisted drafting may produce inaccurate, incomplete, or misleading content; you must review all AI-generated or AI-assisted descriptions, titles, times, locations, pricing, and other details before publication. Veerio does not review event listings for legal compliance and any such assistance does not constitute an endorsement or verification of your event.
Host Representations and Warranties: By posting an event, you represent and warrant that: (a) you have the authority and all necessary rights to post the event and any associated images, branding, or content; (b) your event and listing comply with all applicable laws, regulations, and venue rules; (c) you will maintain adequate insurance coverage for your event and attendees; (d) any Content is accurate and not misleading; (e) the Event described will occur as represented, or you will promptly update or remove the listing; (f) you have the authority to act on behalf of the venue or organization to which the Event relates; and (g) the Content does not infringe any third party's intellectual property, privacy, publicity, or other rights. Notwithstanding the foregoing, you will not have any responsibility or liability for AI-Automated Content, as defined above, UNLESS you claim the event listing.
Prohibited Event Categories: You may not post events that are illegal, promote violence or discrimination, involve unlicensed firearms or controlled substances, are not experiential (as discussed further below) or otherwise violate community standards as determined by Veerio in its sole discretion. Veerio reserves the right to remove any listing and suspend any Host account that violates this provision.
Host Cancellation and Communication Obligations: If you cancel, reschedule, or materially change an event, you must promptly notify attendees and, where applicable, process refunds directly to attendees. Veerio is not responsible for processing refunds or communicating event changes on your behalf.
Host Indemnity: In addition to the general indemnification in Section 10, if you are a Host, you specifically agree to defend, indemnify, and hold harmless Veerio from any claims, liabilities, damages, or expenses arising from: (a) your events, including injuries, property damage, or regulatory violations at or related to your event; (b) your ticketing practices or failure to issue refunds; or (c) your failure to obtain required permits, licenses, or insurance.
COMMERCIAL POSTINGS AND EXPERIENTIAL STANDARD
The Experiential Anchor Standard: Veerio is a digital infrastructure utility designed to facilitate physical, real-world community gatherings and cultural discovery. It is not a marketplace, classifieds section, or advertising platform for retail commerce. Accordingly, all event listings submitted to the Platform must feature a clear educational, cultural, musical, social, or experiential anchor that brings people together in a shared setting.
Prohibited Commercial Postings: General retail promotions, flat advertisements, product discounts, coupons, inventory liquidations, and announcements of standard business operating hours are strictly prohibited.
Permitted Business Events: Commercial businesses and venues are encouraged to post events, provided that any commerce or sales activity is secondary to a time-bound, experiential event.
Permitted Event Example: A local nursery hosting a specific, scheduled workshop on winter-hardy plants, where attendees have the option to purchase supplies afterward.
Prohibited Ad Example: A general posting "20% off all plants this weekend" without a scheduled, interactive gathering or educational component.
Content Curation and Removal: Veerio reserves the absolute, unilateral right to review, reject, modify, or delete any event listing, without notice or liability, that it determines—in its sole discretion—violates this Section or seeks to use the Platform primarily for transaction rather than activation. Repeated violations of this standard may result in the immediate suspension or termination of your account.
4. USER CONDUCT AND CONTENT
You are solely responsible for your conduct and any data, text, files, information, images, graphics, photos, profiles, or other content (collectively, “Content”) that you submit, post, or display on the Platform.
Prohibited Conduct: You agree not to:
Post or transmit any content that is illegal, defamatory, obscene, threatening, invasive of privacy, or infringing on intellectual property rights.
Harass, abuse, stalk, or harm another User or Host.
Use the Platform for any unauthorized commercial purposes or spam.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Use any automated system (bots, scrapers) to extract data from the Platform.
Content Reporting: If you believe that any Content on the Platform violates these Terms or is otherwise objectionable, you may report it by contacting us at the email address in the Contact Information section. We will review reports in our sole discretion and may remove content or take other action as we deem appropriate. We are not obligated to respond to every report or to take any particular action.
Intellectual Property Complaints: If you believe your copyright or trademark has been infringed by content posted on the Platform, please submit a written notice to our contact email including: (a) a description of the copyrighted work or trademark claimed to have been infringed; (b) a description of where the allegedly infringing material is located on the Platform; (c) your contact information; and (d) a statement that you have a good-faith belief that use of the material is not authorized by the rights owner. Repeat infringers may have their accounts terminated.
Content Moderation Posture: Veerio reserves the right, but not the obligation, to monitor, review, or remove Content at our sole discretion. Veerio is not the publisher or speaker of Content provided by Users or Hosts, and is not liable for such Content to the extent permitted by applicable law, including Section 230 of the Communications Decency Act (47 U.S.C. § 230).
5. DATA COLLECTION, USE, AGGREGATION, AND COMMERCIALIZATION
By using Veerio, you understand and agree that we collect data from both Hosts and Users to provide a highly localized experience.
Location Data: To provide the core localized calendar functionality, Veerio collects, processes, and tracks your geographic location data. You may control location access through your device's permission settings; however, disabling location access may limit or prevent use of core features of the Platform. In-app settings may also provide additional controls as described in our Privacy Policy.
Data Defined: For purposes of these Terms, "data" includes information you actively provide (such as event listings, profile information, photos, and other Content) as well as information collected passively through your use of the Platform (such as location signals, browsing behavior, event preferences, attendance patterns, and device information). "Content" refers specifically to the text, images, graphics, and other materials you post or submit to the Platform.
Data Rights and Commercialization: You grant Veerio a perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, compile, and create derivative works from the data and content you provide.
Automated Processing and Personalization: The Platform uses automated processing, artificial intelligence, and algorithmic systems to analyze your data and usage patterns in order to personalize your experience, surface relevant events, generate recommendations, and improve the Platform. These systems may draw inferences about your interests, preferences, and behavior based on your location, browsing activity, and event engagement. You are not subject to decisions that produce legal or similarly significant effects based solely on automated processing without human review.
Third-Party AI Services: In providing the Platform, Veerio may use third-party artificial intelligence or machine learning services to process content, generate or enhance event listings, or analyze data. Such processing is subject to the terms and privacy policies of those third-party providers. Veerio will not knowingly submit your personal information to third-party AI services in a manner that violates applicable law.
AI Model Training: You acknowledge and agree that Veerio may use aggregated, de-identified data derived from your use of the Platform to train, validate, and improve artificial intelligence and machine learning models used to operate and enhance the Platform and related services.
Aggregation and Sale of Data: You explicitly acknowledge and agree that Veerio may aggregate, anonymize, de-identify, use, lease, license, or sell data collected from Users and Hosts (including but not limited to event preferences, attendance trends, demographic data, and localized movement patterns) to third parties for marketing, analytics, research, or other commercial purposes, in compliance with applicable laws. Where data is described as de-identified or anonymized, Veerio applies reasonable technical and organizational measures designed to prevent re-identification; however, Veerio does not guarantee that de-identified data cannot be re-identified in all circumstances. Please review our Privacy Policy for more details on your choices and rights regarding your data.
6. INTELLECTUAL PROPERTY
Our Content: The Veerio name, logo, software, design, graphics, and all proprietary content on the Platform are the exclusive property of Veerio and its licensors and are protected by copyright, trademark, and other laws.
Your Content License: By posting Content on Veerio, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, display, reproduce, distribute, and modify your Content in connection with operating and promoting the Platform.
7. RELEASE AND WAIVER OF LIABILITY
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS VEERIO’S LIABILITY FOR REAL-WORLD INTERACTIONS AND EVENTS.
Risks of Attendance: Real-world events (such as concerts, educational events, and athletic contests) carry inherent risks, including property damage, illness, bodily injury, or death. By using the Platform to find or attend events, you voluntarily assume all risks associated with your attendance.
Release: To the maximum extent permitted by applicable law, you hereby release Veerio, its officers, directors, employees, agents, and affiliates from any and all claims, demands, losses, damages, rights, and actions of any kind (including personal injury, death, or property damage) that are directly or indirectly related to or arise from:
Your interactions with other Users or Hosts.
Your attendance at, or participation in, any event listed on the Platform.
Any negligent act or omission of a Host or third party.
If you are a California resident (or a resident of a state with a similar law), you waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
8. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VEERIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT EVENT LISTINGS ARE ACCURATE OR SAFE. VEERIO DOES NOT PROVIDE SAFETY, MEDICAL, LEGAL, FINANCIAL, OR TRAVEL ADVICE. ANY INFORMATION ON THE PLATFORM IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE. TO THE EXTENT THE PLATFORM INCLUDES CONTENT THAT IS AI-GENERATED, AI-ASSISTED, OR SOURCED VIA AUTOMATED DATA COLLECTION (INCLUDING WEB SCRAPING), VEERIO MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF SUCH CONTENT. AI-GENERATED CONTENT MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU SHOULD INDEPENDENTLY VERIFY ALL EVENT DETAILS BEFORE ATTENDANCE OR RELIANCE.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VEERIO, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE PLATFORM; (B) THE CONDUCT, CONTENT, OR EVENTS OF ANY THIRD PARTY, USER, OR HOST; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR DATA.
IN NO EVENT SHALL VEERIO’S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID VEERIO IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. FOR THE AVOIDANCE OF DOUBT, YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 10 ARE NOT SUBJECT TO OR LIMITED BY THIS LIABILITY CAP.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Veerio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your Content; or (d) if you are a Host, your events and your interactions with attendees.
11. GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law: These Terms, and any dispute arising out of or relating to these Terms or the Platform, will be governed by, construed, and enforced in accordance with the laws of the State of Vermont, without regard to its conflict of law principles.
Jurisdiction and Venue: You and Veerio agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Vermont, and you hereby consent to the personal jurisdiction and venue of such courts.
12. PAYMENTS, REFUNDS, AND CANCELLATIONS
Veerio does not currently process payments, sell tickets, or collect fees from Users or Hosts on behalf of any event. All transactions (including ticket sales, registration fees, or other payments) are conducted directly between Hosts and attendees through third-party payment processors or the Host's own systems. Veerio is not a merchant of record and is not a party to any such transaction.
Refunds and Cancellations: Refund and cancellation policies for events are set and administered solely by the Host. Veerio has no obligation to issue refunds and is not responsible for any Host's failure to do so. If an event is cancelled, rescheduled, or materially changed, your recourse for a refund is solely against the Host. We encourage you to review any applicable refund or cancellation policy before registering for or purchasing tickets to an event.
Chargebacks: If you initiate a chargeback or payment dispute with respect to a transaction you entered into with a Host, you agree to notify us promptly and to cooperate with any investigation. Veerio reserves the right to suspend your account pending resolution of a chargeback dispute.
Future Payment Services: Veerio may in the future introduce payment processing, ticketing, or other transactional features. If and when such features are launched, additional terms governing fees, taxes, refunds, and dispute handling will be presented to you and will supplement these Terms.
13. INTERNATIONAL USE AND CONSIDERATIONS
Veerio is based in the United States and the Platform is currently designed and intended primarily for use within the United States.
If you access or use the Platform from outside the United States:
You are responsible for compliance with all local laws, rules, and regulations applicable to your online conduct and event participation.
You explicitly consent to the transfer, storage, and processing of your data (including personal and location data) to and within the United States, which may have different data protection laws than your home country.
We reserve the right to limit the availability of the Platform to any person, geographic area, or jurisdiction at any time.
14. MODIFICATIONS TO TERMS
Veerio reserves the right to modify or update these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms, posting a notice within the application, or sending an email. Your continued use of the Platform after such changes become effective constitutes your acceptance of the new Terms.
15. TERMINATION
We reserve the right to suspend or terminate your account or your access to the Platform at our sole discretion, without notice or liability, for any reason, including if you violate these Terms. Upon termination, all licenses granted to you by Veerio will cease, but provisions that by their nature should survive termination (including data licenses, indemnification, releases, disclaimers, limitations of liability, and governing law) will survive.
16. GENERAL PROVISIONS
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.
Waiver: No failure or delay by Veerio in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or any other right. No waiver shall be effective unless made in writing and signed by an authorized representative of Veerio.
Assignment: You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Veerio's prior written consent. Veerio may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this section is void.
Entire Agreement: These Terms, together with the Privacy Policy and any additional terms presented to you for specific features or services, constitute the entire agreement between you and Veerio with respect to the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Platform.
Force Majeure: Veerio shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials.
Notices: Except as otherwise specified in these Terms, any notices or other communications to Veerio under these Terms must be sent to the contact email address listed in the Contact Information section. Veerio may provide notices to you via email to the address associated with your account, via in-app notification, or by posting a notice on the Platform. Email notices are deemed received forty-eight (48) hours after the email is sent, unless the sending party is notified that the email address is invalid.
Interpretation: Section headings are for convenience only and shall not affect the interpretation of these Terms. All remedies available under these Terms are cumulative and not alternative. References to "including" or "include" mean "including without limitation." Provisions that by their nature should survive termination of these Terms will survive, including Sections 5 (Data), 6 (Intellectual Property), 7 (Release and Waiver), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law), and this Section 16.
